Terms of Service

1. Acceptance of Terms

By accessing or using AdvoKid (the "Service"), operated by AdvoKid Inc., a Delaware corporation ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). By clicking "I Agree," checking the acceptance box, or uploading documents to the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. This constitutes a legally binding agreement. If you do not agree to these Terms, do not use the Service.

2. Eligibility

The Service is intended for use by individuals who are at least 18 years of age and are residents of the United States. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

You further represent that you are: (a) a parent or legal guardian of the child whose IEP documents you are uploading; (b) an attorney or licensed advocate authorized to act on behalf of the parent or guardian; (c) an educator or school official with proper authorization; or (d) otherwise legally authorized to access and share the educational records you upload.

3. Geographic Scope

The Service is designed for and intended to be used by residents of the United States. The analysis provided is based on U.S. federal law (IDEA, Section 504, ADA) and U.S. state education codes. We make no representation that the Service is appropriate or available for use in other jurisdictions. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws. We do not target, market to, or knowingly collect data from individuals outside the United States.

4. Description of Service

AdvoKid is an AI-powered platform that analyzes Individualized Education Program (IEP) documents and related special education assessments. The Service generates analysis reports that identify potential gaps, compliance concerns, and recommendations based on federal IDEA requirements and state education codes.

5. No Legal Advice

THE SERVICE IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE, LEGAL REPRESENTATION, OR LEGAL OPINIONS. USE OF THE SERVICE DOES NOT CREATE AN ATTORNEY-CLIENT RELATIONSHIP BETWEEN YOU AND ADVOKID INC., ITS OWNERS, EMPLOYEES, OR AFFILIATES. AdvoKid Inc. is not engaged in the practice of law as defined by applicable state and federal law.

The analysis reports, legal citations, regulatory references, and compliance analysis provided by the Service are for informational and educational purposes only. They are not a substitute for professional legal advice from a licensed attorney admitted to practice in your jurisdiction. You should not:

• Use AdvoKid reports as your sole basis for filing a due process complaint, state complaint, or OCR complaint
• Present AdvoKid analysis as legal authority in IEP meetings, mediations, or hearings
• Rely on AdvoKid's interpretation of IDEA, Section 504, ADA, or state education codes without independent verification by a qualified attorney
• Delay seeking professional legal counsel based on information from the Service

Laws and regulations governing special education vary by state and are subject to change. Court interpretations of IDEA and state education codes may differ by federal circuit and state jurisdiction. AdvoKid's analysis may not reflect the most current legal developments in your jurisdiction.

6. AI-Generated Content and Accuracy

The Service uses artificial intelligence to analyze documents and generate reports. AI-generated analysis may contain errors, inaccuracies, or incomplete information. You acknowledge that:

• AI analysis is based on the documents you provide and may not capture the full context of your child's situation
• The quality of the analysis depends on the quality and completeness of the uploaded documents
• Heavily redacted or low-quality documents may result in incomplete or inaccurate analysis
• AI may misinterpret document content, particularly handwritten notes or poor-quality scans
• The AI may generate recommendations that are not appropriate for your specific circumstances

IMPORTANT: AI systems, including the one powering AdvoKid, may generate legal citations, case references, regulatory provisions, or statutory interpretations that appear authoritative but are partially or wholly inaccurate ("AI hallucinations"). While we implement verification measures, we cannot guarantee that every citation, case name, statutory reference, or regulatory interpretation in our reports is accurate. ALL legal citations in AdvoKid reports must be independently verified using official legal databases before being cited in any correspondence, complaint, hearing, or legal proceeding. Reliance on unverified AI-generated citations may result in adverse consequences.

7. Your Responsibilities

By using the Service, you agree that:

• You have the legal right to upload the documents you submit (e.g., you are the parent, guardian, or authorized representative)
• You will not upload documents containing information about children who are not in your legal care or for whom you do not have authorization
• You are solely responsible for any decisions or actions you take based on the analysis provided
• You will independently verify any legal citations or recommendations before acting on them
• You will not use the Service for any unlawful purpose

8. Prohibited Uses

You may not use the Service to:

• Upload documents for which you lack legal authorization
• Analyze IEPs of children who are not in your care or representation
• Conduct surveillance, investigation, or profiling of children or families
• Circumvent or interfere with the PII redaction system
• Reverse-engineer, decompile, or attempt to extract the AI model or algorithms
• Use automated systems (bots, scrapers) to access the Service
• Resell, redistribute, or commercially exploit the analysis reports without prior written consent
• Upload malicious files or attempt to compromise Service security
• Use the Service to generate content for litigation without independent attorney review

9. Intellectual Property

Your content: You retain all rights to the documents you upload. We do not claim any ownership of your uploaded documents or the information contained within them.

Our content: The Service, including its design, features, analysis methodology, report templates, and advocacy letter templates, is owned by AdvoKid Inc. You may use the generated reports and letter templates for your personal, non-commercial advocacy purposes.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADVOKID INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data, revenue, or profits
• Decisions made or actions taken based on the Service's analysis
• Outcomes of IEP meetings, due process hearings, or legal proceedings
• Errors, inaccuracies, omissions, or hallucinations in AI-generated analysis
• Inability to access or use the Service
• Unauthorized access to your session data

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the analysis results will be accurate, reliable, or complete; (d) any errors in the Service will be corrected; or (e) the AI-generated legal citations, recommendations, or compliance assessments are current, correct, or applicable to your jurisdiction.

12. Indemnification

You agree to indemnify, defend, and hold harmless AdvoKid Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any actions you take based on the Service's analysis or recommendations.

13. Dispute Resolution and Arbitration

BINDING ARBITRATION AND CLASS ACTION WAIVER: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Arbitration shall take place in Los Angeles County, California, and shall be conducted by a single arbitrator.

YOU AND ADVOKID INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

You may opt out of this arbitration provision by sending written notice to [email protected] within 30 days of first using the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent litigation is permitted under these Terms, any disputes shall be resolved in the state or federal courts located in Los Angeles County, California.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

16. Modifications to Service and Terms

We reserve the right to modify, suspend, or discontinue the Service at any time without notice. We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email (if we have your email address) or by posting a prominent notice on the Service. Your continued use after the notice period constitutes acceptance. If you disagree with changes, you must stop using the Service.

17. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, cyber attacks, third-party service outages, or other force majeure events.

18. Termination

We may terminate or suspend your access to the Service at any time, without prior notice, for any reason. Upon termination, your right to use the Service ceases immediately. Session data is automatically deleted per our standard data retention practices.

19. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

20. Survival

Sections 5 (No Legal Advice), 6 (AI-Generated Content), 10 (Limitation of Liability), 11 (Disclaimer of Warranties), 12 (Indemnification), 13 (Dispute Resolution), and 14 (Governing Law) shall survive termination of these Terms.

21. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and AdvoKid Inc. regarding the use of the Service, and supersede any prior agreements.
